Legal
Terms
These terms apply to a RichPad account, subscription, and the downloadable software.
-
Agreement
These terms are the contract between you and RichPad for the desktop application, the website, and the account services we provide with them. By creating an account, signing in, paying for a subscription, or installing the software, you agree to these terms. If you do not agree, do not create an account and do not use the software.
If you accept these terms for an organisation, you confirm that you have authority to bind that organisation. “You” then means both you and that organisation.
-
The service
RichPad is a desktop application for block-based technical documents, together with an online account used to sign in, manage licensed devices, download the installer, and, where a paid plan applies, manage billing. Documents you create stay on your computer. We do not host your documents as part of the service.
Accounts are created on this website. The desktop app checks whether this account may use this device. It is not a place to register, pay, or change a plan.
-
Accounts
You need an account to download the software and to use it. Keep your email and password confidential, and tell us if you believe someone else is using your account. You are responsible for activity under your account.
You must give an email address you control. One person or organisation should not share a password as a way to add extra users. Each user who needs their own sign-in needs their own account. If you change your email, we send a verification link to the new address. You have 24 hours to open it. Sign-in uses the new address during that time. If you do not verify it, the account email changes back to the previous address.
-
Licence
While your licence is active, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and run the software on the devices authorised for your account, and to use the website to manage that account. The licence is for your own use, or for use inside your organisation, under these terms.
We retain all right, title, and interest in the software, the website, and the RichPad name and marks. These terms do not sell the software to you.
-
Distribution of the software
You may not distribute the downloadable software outside your organisation. That includes the installer, the application, and any copy or update we make available for download. You may not publish it, upload it, sell it, rent it, sublicense it, or give it to anyone outside your organisation.
If you use RichPad as an individual, you may not distribute the software generally. You may not share the installer or the application with other people, post it for others to download, or otherwise make it available beyond your own use.
Providing a copy inside your organisation does not add seats. Each installation that signs in still uses a device seat on an authorised account, and each account must have its own active licence.
-
Devices
Each account may activate up to three devices. A further device is refused until you remove one on the Account page. Removing a device frees that seat. Signing out of the desktop app does not free a seat.
A successful sign-in on a device issues a session for that device. While the session is valid you can keep working on that device if you are offline. When the app can reach us, it checks that the account, the licence, and the device are still allowed. If you remove the device, or the licence is no longer active, the next online check refuses access even if time remains on the session.
-
Your documents
You keep all rights in the documents, calculations, and other content you create with RichPad. We do not claim ownership of that content. Because it stays on your computer, you are responsible for saving it, backing it up, and deciding who can open those files.
You are responsible for the content you create and for having the rights you need to use any material you put into a document.
-
Subscriptions and fees
A new subscription includes a 7-day free trial. You enter a payment method at checkout. The first charge is 7 days later, for the plan and period shown at checkout. Prices, taxes, and the billing period are presented before you start the trial. After the trial, fees are due in advance for each period.
Your licence becomes active when we confirm the subscription, including during the free trial. An invite or other non-paid licence, where we offer one, is active only for the period and conditions we state when we issue it.
-
Orders
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders.
-
Renewal and cancellation
A subscription renews for the same period until you cancel. On the Account page, Cancel subscription opens the cancellation page for your subscription. Manage billing is for your payment method and invoices. Refunds are described below. If you cancel during the trial, you keep access until the trial ends and the first charge does not happen. After a charge, cancellation stops the next renewal. You keep access until the end of the period you have already paid for, unless we end the subscription earlier under these terms.
Closing the account on the Account page deletes the account, including the email and password. A subscription that is still running is canceled immediately, which can end access before the period you have already paid for and does not by itself refund that period. Cancelling only the subscription, without closing the account, still leaves access until the end of that period.
If a renewal payment fails, we may suspend the licence until the payment succeeds. The desktop app will refuse new use once it next checks an inactive licence.
-
Refunds
RichPad has a 30-day money-back guarantee. Within 30 days of a charge, you can ask for that charge back, and we refund it. You do not have to show that the product has an error. Request the refund from Paddle. The refunds page explains how to send the request to Paddle, our Merchant of Record.
Cancelling a subscription does not by itself refund the current period. Nothing in this section limits a refund the law requires.
-
Acceptable use
You may not:
- copy, modify, or create derivative works of the software, except where the law does not allow this restriction;
- reverse engineer or attempt to extract source code, except where the law does not allow this restriction;
- bypass device limits, licence checks, or other access controls;
- share your password, or let others sign in on devices that are not authorised for your account;
- resell, rent, or offer the software or your account as a service to third parties;
- use the service to break the law, or to infringe someone else’s rights;
- interfere with the website, the account service, or another customer’s use;
- remove copyright or other proprietary notices from the software.
-
Changes to the service
We may change, suspend, or discontinue features of the website or the software. We may also issue updates. Some updates may be required before the desktop app will sign in. We do not promise that every feature will remain available, or that the service will be uninterrupted or error-free.
-
Third parties
Payment, and any other service we identify at the time you use it, is provided by that third party under its own terms. We are not responsible for a third party’s outage or for terms that apply solely between you and that provider. Your use of RichPad remains subject to these terms.
-
Disclaimer
The software and the website are provided “as is” and “as available”. To the extent the law allows, we disclaim warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and we do not warrant that calculations, exports, or documents will be accurate, complete, or suitable for a particular professional use. You are responsible for checking results before you rely on them.
Nothing in these terms excludes or limits a right, guarantee, or remedy that the law does not allow us to exclude or limit.
-
Liability
To the extent the law allows, we are not liable for lost profits, lost data, lost documents, business interruption, or any indirect or consequential loss, even if we have been advised it is possible. Our total liability arising out of the service in any twelve-month period is limited to the amount you paid us for the service in that period. If you paid nothing, our total liability is limited to the minimum amount the law requires.
We do not limit liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit.
-
Your responsibility to us
You will indemnify us against claims, losses, and reasonable costs arising from your documents, your misuse of the service, or your breach of these terms, except to the extent the claim is caused by our own breach or negligence.
-
Suspension and ending access
You may stop using RichPad at any time and may cancel a paid subscription as described above. We may suspend or end your account or licence if you break these terms, if payment fails, if we are required to by law, or if we discontinue the service. When access ends, the licence ends and you must stop using the software and delete copies you are no longer licensed to keep.
Sections that by their nature should continue — including intellectual property, distribution restrictions, disclaimers, liability, and this survival sentence — continue after access ends.
-
Changes to these terms
We may update these terms. The date below changes when we do. If you keep using the account or the software after the update is shown on this page, you agree to the updated terms. If you do not agree, cancel the subscription and stop using the software.
-
General
These terms are the entire agreement between you and us about the service and replace earlier terms on the same subject. If a court holds part of these terms unenforceable, the rest stays in effect. You may not assign these terms without our consent. We may assign them as part of a reorganisation or sale of the service.
A failure to enforce a term is not a waiver. These terms are governed by the laws of the place where we are established, without regard to conflict-of-law rules, and the courts of that place have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any court that can grant it.
